Terms and Conditions

The rules and guidelines for using Sociable Suite, including our website, applications, and social media management services.

1. Agreement to terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Sociable Suite ("Sociable Suite," "we," "us," or "our") governing your access to and use of our website, applications, and related services (collectively, the "Services").

By creating an account, accessing, or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

If you do not agree to these Terms, you must not use the Services.

2. Our services

Sociable Suite provides a cloud-based social media management platform that enables users to plan, create, schedule, publish, monitor, respond to, collaborate on, and analyze social media content across connected networks.

We may modify, suspend, or discontinue any part of the Services at any time. We will make reasonable efforts to notify you of material changes that adversely affect your use of paid features, except where changes are required for legal, security, or operational reasons.

Feature availability may vary by subscription plan, region, and connected platform. Limits described on our pricing page or in your account dashboard are incorporated into these Terms by reference.

3. Accounts and eligibility

You must be at least 16 years old (or the minimum age required in your jurisdiction) to use the Services. You are responsible for providing accurate registration information and keeping your account credentials confidential.

You agree to:

  • Notify us promptly of any unauthorized use of your account.
  • Ensure that users you invite to a workspace comply with these Terms.
  • Configure roles and permissions appropriately for your team.

We reserve the right to refuse registration, reclaim usernames, or suspend accounts that violate these Terms or pose a security risk.

4. Subscriptions and payments

Paid plans

Certain features require a paid subscription. Fees, billing cycles, and plan limits are displayed at checkout and on our pricing page. By subscribing, you authorize us and our payment processors to charge your payment method on a recurring basis until you cancel.

Free trials and promotions

We may offer free trials or promotional pricing at our discretion. Unless otherwise stated, trials convert to paid subscriptions at the end of the trial period unless you cancel before renewal.

Cancellation and refunds

You may cancel your subscription through your account settings. Cancellation takes effect at the end of the current billing period unless otherwise stated. Except where required by law, fees are non-refundable and we do not provide prorated refunds for partial billing periods.

Taxes and price changes

Prices exclude applicable taxes unless stated otherwise. We may change subscription prices with advance notice; continued use after the effective date constitutes acceptance of the new pricing.

5. Acceptable use

You agree not to use the Services to:

  • Violate any applicable law, regulation, or third-party terms, including social network policies and advertising standards.
  • Publish or distribute unlawful, defamatory, harassing, hateful, fraudulent, or misleading content.
  • Infringe intellectual property, privacy, or publicity rights of others.
  • Send spam, unsolicited messages, or automated engagement that violates platform rules.
  • Attempt to gain unauthorized access to the Services, other accounts, or connected systems.
  • Reverse engineer, scrape, or interfere with the integrity or performance of the Services.
  • Resell or sublicense the Services except as expressly permitted in writing by us.

We may investigate violations and cooperate with law enforcement. We are not obligated to monitor all content but may remove content or restrict access that we reasonably believe violates these Terms.

6. Your content

"Your Content" means text, images, videos, drafts, comments, and other materials you or your team submit to or through the Services, including content scheduled for publication on connected networks.

You retain ownership of Your Content. You grant Sociable Suite a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (for technical formatting), display, and transmit Your Content solely to provide and improve the Services as you direct.

You represent that you have all rights necessary to submit Your Content and that its use through the Services does not violate any law or third-party rights. You are solely responsible for Your Content and for compliance with platform-specific rules when publishing.

7. Connected social accounts

The Services may require you to connect third-party social media accounts. By connecting an account, you authorize Sociable Suite to access and perform actions on your behalf according to the permissions you grant.

You may revoke access at any time through your workspace settings or the third-party platform. We are not responsible for changes, outages, or policy updates imposed by third-party networks that affect publishing, analytics, or other functionality.

8. AI features

Certain features use artificial intelligence to generate suggestions, captions, or other outputs based on your inputs. AI outputs are provided for assistance only and may be inaccurate, incomplete, or inappropriate for your use case.

You are responsible for reviewing and approving all AI-generated content before publication. Do not rely on AI outputs as legal, medical, financial, or professional advice. You must not use AI features to generate content that violates these Terms or applicable law.

9. Intellectual property

The Services, including software, design, logos, documentation, and proprietary technology, are owned by Sociable Suite or its licensors and are protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no license is granted to you.

You may not copy, modify, distribute, or create derivative works of the Services without our prior written consent. Feedback you provide may be used by us without obligation or compensation to you.

10. Third-party services

The Services may integrate with or link to third-party websites, APIs, and tools. Those services are governed by their own terms and privacy policies. We do not endorse and are not responsible for third-party services or content.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, secure, or that content will be published successfully on third-party platforms. You use the Services at your own risk.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOCIABLE SUITE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

13. Indemnification

You agree to defend, indemnify, and hold harmless Sociable Suite and its affiliates from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from Your Content, your use of the Services, your violation of these Terms, or your violation of any law or third-party rights.

14. Termination

You may stop using the Services at any time by closing your account. We may suspend or terminate your access immediately if you breach these Terms, fail to pay fees, or if we reasonably believe continued access poses risk to the Services or other users.

Upon termination, your right to use the Services ends. Sections that by their nature should survive termination (including payment obligations, disclaimers, limitation of liability, and indemnification) will remain in effect.

15. Changes to these terms

We may update these Terms from time to time. When we make material changes, we will post the updated Terms on this page and update the effective date above. We may also notify you by email or through the Services where appropriate.

Your continued use after changes become effective constitutes acceptance of the revised Terms, except where further consent is required by law.

16. Governing law

These Terms are governed by the laws of the State of New York, United States, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Services will be resolved in the state or federal courts located in New York County, New York, and you consent to personal jurisdiction in those courts.

If you are a consumer in a jurisdiction that grants mandatory local rights, nothing in these Terms limits those rights where they cannot be waived by agreement.
